Terms of Service

1. Acceptance
These Terms of Service (Terms) apply to your use of the services provided by Veristar Australia Pty Ltd (ACN 691 969 614 / ABN 27 691 969 614), trading as Vericode (Vericode, we, us, or our). By signing up for, accessing, or using the Service, the user (the User, you, or your) agrees to these Terms. If you use the Service on behalf of an entity, you warrant that you have authority to bind that entity to these Terms.
2. The Service
Vericode provides Australian phone-number verification services, account-to-account quotas, and the Vericode Sidekick browser extension (together, the Service). The Service is intended to help users verify phone-number information in a controlled, account-based SaaS environment.
3. Eligibility and Account
You must be at least 18 years old and either a legal entity or an authorised representative of a legal entity to use the Service. You must provide accurate account information, keep your credentials secure, and promptly tell us about any unauthorised access. You are responsible for all activity under your account.
4. Fair Use
Your use of the Service is subject to the quotas, rate limits, and other fair-use controls included in your active billing plan. We may throttle, limit, or suspend activity that appears abusive, including spammy bulk verification, scraping, automated probing, or patterns designed to avoid plan limits.
5. Acceptable Use
You must not use the Service for illegal phone-number harvesting, against a data subject's interests, to resell raw verification data, or for harassment, stalking, doxxing, or similar harmful conduct. You must not attempt to bypass, interfere with, or circumvent fair-use controls, security measures, or technical limits.
6. Payment, Billing, and Taxes
The Service is provided on a subscription basis unless we agree otherwise in writing. Prices are stated in Australian dollars (AUD), and GST applies where required. Payments are processed through Stripe or a successor payment processor. If payment is overdue or cannot be processed, we may suspend access to the Service. Refunds are provided at Vericode's discretion.
7. Data and Privacy
Vericode processes phone numbers and verification metadata as described in our Privacy Policy at /privacy. Phone numbers are not sold or shared except as needed to fulfil verification, consistent with the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles where applicable.
8. Intellectual Property
Vericode owns the Service and all related intellectual property, including software, designs, systems, documentation, and brand materials. You retain ownership of the phone numbers, account details, and other inputs you provide to the Service. Vericode grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose in accordance with these Terms.
9. Service Availability and Support
We aim to keep the Service available on a best-effort basis, but we do not provide a service level agreement at this tier. Support is available through our standard channels, including the contact page.
10. Termination
Either party may terminate these Terms with reasonable notice. Vericode may suspend or terminate your access immediately if you breach these Terms, fail to pay amounts when due, or use the Service unlawfully. Any outstanding fees and obligations that by their nature should survive termination will continue to apply.
11. Limitation of Liability
To the maximum extent permitted by law, Vericode is not liable for consequential, indirect, special, incidental, or punitive damages. Vericode's total direct liability arising out of or relating to the Service is capped at the fees paid by the User to Vericode in the 12 months prior to the claim. Nothing in these Terms limits rights, guarantees, or remedies that cannot be excluded under the Australian Consumer Law.
12. Indemnity
You indemnify Vericode and its officers, employees, and agents against claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the Service, breach of these Terms, or violation of any law.
13. Assignment
Vericode may assign or transfer this agreement, in whole or in part, to a successor in interest, including in the case of merger, acquisition, sale of substantially all assets, or corporate restructure, without notice or consent. You may not assign or transfer this agreement without Vericode's prior written consent.
14. Changes to These Terms
Vericode may amend these Terms from time to time. Notice on this page is sufficient notice of a change, and continued use of the Service after the effective date constitutes acceptance of the updated Terms. Material changes will be highlighted on this page.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland and the courts of appeal from them.
